Proven Prep Tax Free Prep Center Terms of Service

Pricing:

Below you will find our pricing. We are a Tax Free Prep Center in Portland Oregon. We do not plan on changing this any time soon but we might make some adjustments up or down as we go.

  • 500 Unit Minimum per month or billed the difference (need to be there by the end of your second month with us)
  • $1.95 per unit from 250 to 500 units
  • $1.75 per unit from 500 to 1,000 units
  • $1.50 per unit from 1,000 to 2,000 units
  • $1.25 per unit for anything over 2,000 units per month
  • Additional items per unit (bundles) will be charged the base price plus $0.20 per additional unit in the bundle EX: two pack would be $1.95 if less than 1k units
  • Shoe’s are $1.00 more per unit on to of your base price
  • If your item requires a new box or its own box, it will be $2.50 charge per box
  • Bubble wrap is $0.25 per square foot for glass or breakable items
  • Small Oversized items can be billed at $2.00 more per unit and large oversized can be billed at $5.00 more per unit.
  • If you are looking for wholesale or large quantity prices, please contact us but we start at $1.35 per Sku of 100 units and decrease on based on volume
  • Storage will be billed at $0.50 per unit after 30 days of storage (some exceptions can be made)
  • If you want an item returned for you, it will be $5.00 per box (exceptions will occur from time to time depending on the situation)
  • Hazmat shipping will be billed through Pirate ship and invoiced to you on the next billing cycle

Services:

Proven Prep Center provides preparation services for products sold through Amazon FBA (Fulfilment by Amazon, Walmart, and FBM). This service is Tax Free includes:
  • Receiving goods shipped from retailers
  • Inspecting goods received
  • Price tag/sticker remova
  • Poly-bagging
  • Suffocation warning labels
  • Expiration dates
  • Bundling (additional fees apply)
  • Bubble wrapping (additional fees apply)
  • Labeling
  • Listing items via InventoryLab/Scanpower
  • Creating Shipping Plans via InventoryLab/Scanpower
  • Printing shipping labels
  • Packing shipments/sending to Amazon

Account & Prep Fees:

Account and Prep Fees will be assessed as per the option accepted by the client on the Quote. Client is responsible for paying all shipping charges, either through their Seller Central account or direct charges incurred by Proven Prep Center for shipments including but not limited to returns, hazmat shipments, or other shipments requested by the client.

Minimums & Billing:

Clients will be invoiced the total units prepped plus any additional fees bi weekly. We will keep your credit card on file and automatically run the payments each cycle. If the client does not want to be automatically billed, we will need to be notified. The minimum 500 will be from the first of the month to the last of the month. If failure to meet the 500 minimum, the client will be billed the difference from what the client paid and $1.75 x 500 = $875.00 and will not exceed that amount for the month.

The billing cycle will be on the 15th and last day of the month for shipments of the units that left our warehouse at that time. You will find those items in the completed tab in your spreadsheet.

Exceptions to billing policies can be made per client and Proven Prep Center’s agreement at any time.

Invoices will have a 7 day grace period to be paid if not automatically charged. If you surpass the 7 days, Proven Prep Tax Free, Proven Prep Center will not prep your shipments until your invoices are caught up.

Invoices over 30-days past due will accrue late payment fee of 1.5% per month. Proven Prep Center shall have a lien on the Goods tendered by Client and upon any and all property belonging to Client in Proven Prep Center’s possession, custody or control forall charges, advances or amounts of any kind due to Proven Prep Center under this Warehouse Receipt or under any prior or subsequent invoices issued to Client by Proven Prep Center (including charges for prep, processing, storage, handling, shipping, transportation, labor, and any other charges incurred).

Proven Prep Center shall have a lien on the Goods and may refuse to surrenderpossession of the Goods until all charges or debts are paid in full. If such amounts remain unpaid for 30 days after Proven Prep Center demand for payment, Proven Prep Center may sell the Goods at public auction or private sale or in any other manner reasonable, and shall apply the proceeds of such sale to the amounts owed. Client remains responsible for any deficiency outstanding to Proven Prep Center. 

Pallets: Proven Prep Center accepts palletized shipments. Proven Prep Center must be notified in advance for all pallet shipments

Excluded Items: 

Proven Prep Center Tax Free does not currently accept the following: 

â—Ź Proven Prep Center does not accept items with lithium-ion batteries for long term storage.

 Storage: 

Proven Prep Center does not charge storage fees while we are processing and prepping items. If an item cannot be processed or needs to be stored at the request of the client, a storage fee of $0.50 per unit per month

Disposal of Product: 

Proven Prep Center will dispose of any product per the Client’s request for no additional charge. Once the disposal request is submitted, the product becomes the property of Proven Prep Center and may be disposed of at Proven Prep Center’s discretion. 

Processing Time:

 Proven Prep Center’s processing time varies depending on a number of factors but our goal is to do one shipment per week or more depending on the client’s inventory in our warehouse. Longer processing times are possible Between May and July and between September and December. 

Proven Prep Center is closed on New Year’s Day, Memorial Day, Independence Day, Labor Day, Thanksgiving Day, and Christmas Day. Proven Prep Center may also be closed or only open for limited hours on Christmas Eve and/or New Year’s Eve.

Liability: 

Proven Prep Center’s duty of care shall be that of a reasonably careful person under like circumstances and Proven Prep Center shall not be liable for any loss, damage or injury to goods stored however caused unless such loss, damage or injury resulted from the failure by Proven Prep Center to exercise such reasonable care, and Proven Prep Center is not liable for losses, damages or injuries which could not have been avoided by the exercise of such care. Proven Prep Center and the Client agree that Proven Prep Center’s duty of care referred to herein shall not extend to providing a sprinkler system at the warehouse complex or any portion thereof. In no event shall Proven Prep Center be liable for any loss or damage caused by: a) acts of God; public authorities acting with actual or apparent authority; strikes; labor disputes; weather; mechanical or equipment failures; cyber attacks; civil commotions; hazards incident to a state of war; acts of terrorism; acts or omissions of customs or quarantine officials; acts of carriers related to security; the nature of the freight or any defects thereof; inherent vice of the goods; perishable qualities of the merchandise; fires; frost or change of weather; sprinkler leakage; floods; wind; storm; moths; public enemies; or other causes beyond its control; b) fragile articles injured or broken, unless packed by Proven Prep Center employees and unpacked by them at the time of delivery; c) pilferage or theft unless such loss or damage is caused by the failure of Proven Prep Center to exercise such ordinary care required by law; and d) concealed damage, or for losses incurred due to the concealed damage of the Goods. 

 

Unless specifically agreed to in writing, Proven Prep Center shall not be responsible for storage of the Goods in a temperature or humidity controlled environment. Client knowingly accepts that the Goods will be warehoused in a non-temperature/humidity controlled environment. Proven Prep Center will not be responsible for any loss or damage to the Goods that result from fluctuations in temperature range or in humidity levels of the warehouse. Proven Prep Center will furthermore not be responsible for losses or damages incurred to Perishable Goods, unless otherwise agreed to in writing prior to tender of the Goods for storage.

In the event of loss or damage to the Goods for which Proven Prep Center is legally liable, Proven Prep Center’s liability shall be limited to cost of the Goods paid by Client at time of purchase. Proven Prep Center will not be liable for any shipment level, box level, or product level errors as indicated by Amazon unless the error resulted from the failure by Proven Prep Center to exercise such reasonable care when processing said products. If it can be determined that Proven Prep Center’s failure to exercise care caused the error, Proven Prep Center will reimburse the Client for any charges or fines imposed by Amazon including removal charges. In the event of loss of Goods for which Proven Prep Center is legally liable, Proven Prep Center’s liability shall be limited to the cost of Goods paid by Client at time of purchase.

IN NO EVENT, WHETHER AS A RESULT OF BREACH OF COMPANY’S DUTIES, NEGLIGENCE LIABILITY WITHOUT FAULT OR ANY OTHER LEGAL THEORY OR
BASIS, SHALL COMPANY BE LIABLE FOR ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL, STATUTORY OR PUNITIVE DAMAGES, INCLUDING BUT NOT
LIMITED TO, LOSS OF PROFITS OR LOSS OF MARKET, LOSS OF INCOME, DAMAGES ARISING FROM LOSS, ATTORNEYS FEES OR PUNITIVE DAMAGES,
WRONG DELIVERY, OR DAMAGE TO PROPERTY, LOSS OF USE OF GOODS, COST OF SUBSTITUTED GOODS, DELAYED DELIVERY OR FAILURE TO ATTEMPT
DELIVERY, WHETHER OR NOT COMPANY HAD KNOWLEDGE THAT SUCH DAMAGES OR LOSSES MIGHT OCCUR.

Damaged Goods:


If a product is damaged upon receipt, Proven Prep Center will document the state of the goods at the time of receipt and notify the Client immediately via email. The Client must notify Proven Prep Center within 7 business days what further action is necessary(product return, ship to Client, storage, or disposal). 

The Client will be responsible tocontact the retailer to return or replace the item(s). A labor charge will be assessed asappropriate

Unprocessable Items: 

Items that we are unable to ship to Amazon, including products received damaged, incorrectly fulfilled by retailer, without an Amazon listing, under hazmat review, unauthorized to be sold by Client, or any other reason, is considered Unprocessable and must be rectified by the Client within 30 days. Storage fees and additional labor fees will be assessed as appropriate. Client may choose to have the items shipped to them or other location at the Client’s expense. Any items remaining in our possession after the 30-day window will become our property and we will dispose of them as appropriate. 

Products received by Proven Prep Center that are not listed on the Client’s Prep Sheet will be considered Unprocessable until the missing information is added to the Prep Sheet. Because additional labor is involved when processing products that are not listed on the Prep Sheet, an additional fee of $0.50 per product will be assessed when we are unable to locate the product on the sheet.

User Permissions Required: 

Clients are required to sign up with Scan Power at no charge to them and give Proven Prep Center access to it for prep and boxing.

If you have Inventory Lab, Listing Access is required in InventoryLab. For Seller Central, Manage FBA Inventory/Shipments access is required through Sub Account access.

Agreeing to Terms:

By making your initial payment of $249 and shipping items to Proven Prep Center, Client has agreed to all terms in our Terms of Service
